These Terms and Conditions ("Terms") govern your use of the iCompare platform ("Service") operated by MedSuite Digital LLC ("we", "us", "our").

1. Acceptance of Terms

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

The Service is intended for licensed healthcare professionals. You confirm you are authorized to enter this agreement on behalf of your clinic or practice.

3. Use of the Service

You agree to:

  • Use the Service only for lawful business purposes, including sending SMS messages for contact lens pricing summaries to users who have explicitly opted in.
  • Keep your login credentials confidential.
  • Provide accurate clinic and provider information.
  • Comply with all applicable data protection and privacy laws when storing and managing client information.
  • Obtain proper consent before collecting and storing client personal information.

We reserve the right to suspend or terminate your access if we believe you are violating these Terms or applicable laws.

4. Data Security and Privacy

We implement industry-standard security measures to protect your data:

  • Encryption: All client personal information (PII) is encrypted using AES-256-GCM encryption before storage.
  • Audit Trails: All changes to client records are logged with timestamps and user information for compliance and security.
  • Access Controls: Client data is only accessible to authorized clinic staff within your organization.
  • Data Retention: Client data is retained only as long as necessary for business purposes and legal compliance.

5. SMS Messaging

  • Consent: Clinic staff or patients may opt in to receive SMS messages with contact lens pricing summaries through a clinic-managed process (e.g., in-clinic paper form or staff-assisted opt-in). Consent is not a condition of purchase.
  • Message Frequency: Typically 1-3 messages per interaction, based on user-initiated requests.
  • Data Rates: Message and data rates may apply, depending on the recipient's mobile plan.
  • Opt-out: Recipients may opt out at any time by replying "STOP" to any message.
  • Support: Recipients may reply "HELP" for assistance or contact support@medsuitedigital.com.
  • Compliance: All SMS messaging complies with applicable laws, including CTIA Messaging Principles and Twilio's Messaging Policy.

6. Subscription and Billing

Subscriptions are billed monthly or annually via Stripe. Payments are non-refundable, but we may offer refunds on a case-by-case basis. Cancellation stops future billing but does not refund prior charges. You will retain access until your billing term ends.

7. Intellectual Property

All content, trademarks, software, and designs provided through the Service remain the property of MedSuite Digital LLC or its licensors.

8. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Service.

9. Termination

You may cancel your subscription at any time through your account. We reserve the right to suspend or terminate your access at our discretion, particularly if you breach these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
